Corporate Governance Code

Statutory Instrument 450 of 2009 (SI 450) was published on the 18th November 2009 and transposed the European Communities Directive 2006/46. This Directive applies to EU domiciled companies generally. These requirements, through the transposing regulations (SI 450) and amended transposing regulations (SI 83 of 2010), apply to Irish listed companies (including listed corporate investment funds) for years beginning on or after 18th November 2009 i.e. for the financial statements/directors reports for years ending after 17th November 2010.

The Boards of Sanlam Universal Funds PLC, Sanlam Global Funds PLC, Sanlam Qualifying Investors funds PLC, Blue Ink Global Circa Fund PLC, Blue Ink Global Diversified Funds PLC and Blue Ink Global Medium Hub PLC have reviewed the Corporate Governance Code for Irish Domiciled Collective Investment Schemes, (the “Code”) issued by the Irish Funds Industry Association, and adopted the Code to address the requirements of SI 450. The responsibility for implementation of the Code rests with the Board of Directors, which relies on Sanlam Asset Management Ireland (SAMI) to ensure compliance with all aspects.

 (SAMI) is a UCITS III Management Company incorporated in Ireland and authorized by the Financial Regulator. SAMI provides fund and investment management services to Irish domiciled collective investment schemes (CIS) as appointed by the Funds Boards.
